1. Who we are

Missionly.ai (the "Service") is operated by Push Purpose("Push Purpose", "we", "us", "our"). By creating an account or using the Service, you are entering into an agreement with Push Purpose.

2. Acceptance

By accessing or continuing to use the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. The Service

Missionly.ai is an AI-powered platform for nonprofits to plan and produce marketing, grant proposals, donor and development writing, and event materials. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your subscription plan.

4. Payment, billing, and subscription terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. For payment, billing, tax, cancellation, and refund mechanics please refer to Paddle's Buyer Terms and our Refund Policy.

The Service uses generative AI to produce drafts (the "Outputs") from your prompts and uploaded materials (the "Inputs").

7. Intellectual property

The Service, including its software, models, design, branding, and documentation, is and remains the property of Push Purpose and its licensors. No rights are granted except those expressly stated in these Terms.

8. Account credentials and accuracy

You are responsible for keeping your account credentials confidential and for all activity under your account. You agree to provide accurate information and keep it up to date.

9. Service availability

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Push Purpose's aggregate liability arising out of or relating to the Service is limited to the fees you paid to Paddle for the Service in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability that cannot be limited under applicable law, including for fraud, death, or personal injury caused by negligence.

11. Indemnity

You agree to defend and indemnify Push Purpose against claims arising from your Inputs, your use of Outputs, your unlawful use of the Service, or your breach of these Terms.

12. Suspension and termination

We may suspend or terminate your access at any time for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time from the billing portal. On termination, your right to use the Service ends and we may delete your account data after a reasonable export window.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Push Purpose is established, without regard to conflict of law principles. Disputes will be resolved in the competent courts of that jurisdiction.

14. Changes

We may update these Terms from time to time. Material changes will be notified by email or in-product notice. Continued use of the Service after changes take effect constitutes acceptance.
